These Terms of Sale (“Terms”) govern the purchase of products and/or services (collectively, “Products”) from Astricks (“Astricks,” “we,” “us,” or “our”) by any individual or entity (“Customer,” “you,” or “your”). By placing an order with Astricks, you agree to be bound by these Terms. If you do not agree, do not place an order.
1. Acceptance of Orders
All orders submitted to Astricks are subject to acceptance by Astricks in its sole discretion. An order is not binding on Astricks until confirmed in writing (including by email). Astricks reserves the right to refuse or cancel any order for any reason, including product unavailability, pricing errors, or suspected fraud.
2. Pricing
- All prices are stated in U.S. dollars unless otherwise specified and are subject to change without notice prior to order acceptance.
- Prices do not include applicable taxes, duties, shipping, or handling fees unless expressly stated.
- In the event of a pricing error, Astricks reserves the right to cancel the affected order and issue a full refund.
3. Payment Terms
- Payment is due in accordance with the terms specified on the applicable invoice or order confirmation.
- Accepted payment methods will be specified at checkout or in your account agreement.
- Late payments may be subject to interest at the lesser of 1.5% per month or the maximum rate permitted by law.
- Astricks may suspend or cancel outstanding orders if payment is not received when due.
4. Shipping and Delivery
- Delivery dates provided by Astricks are estimates only and are not guaranteed.
- Risk of loss and title to Products pass to Customer upon delivery to the carrier, unless otherwise agreed in writing.
- Astricks is not liable for delays caused by carriers, customs, or events beyond its reasonable control.
- Customer is responsible for providing accurate shipping information; additional charges resulting from incorrect information may be passed to Customer.
5. Order Cancellations and Changes
Orders may be cancelled or modified only with Astricks’ written consent. Astricks reserves the right to charge a cancellation or restocking fee for cancelled orders, particularly for custom or special-order Products.
6. Returns and Refunds
- Return eligibility, timeframes, and conditions are governed by Astricks’ Return Policy, which is incorporated into these Terms by reference.
- Products must generally be returned in original, unused condition with original packaging unless otherwise stated.
- Custom, special-order, downloadable, or clearance Products may be non-returnable, as indicated at the time of sale.
- Approved refunds will be issued to the original payment method within a reasonable time after receipt and inspection of the returned Product.
7. Warranties
Except as expressly stated in a separate written warranty applicable to specific Products, all Products are provided “AS IS” without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law. Any manufacturer warranties are passed through to Customer where applicable.
8. Limitation of Liability
To the maximum extent permitted by law, Astricks shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits or lost data, arising out of or related to the sale or use of Products, even if advised of the possibility of such damages. Astricks’ total aggregate liability arising out of any order shall not exceed the amount paid by Customer for the applicable Products.
9. Taxes
Customer is responsible for all applicable sales, use, value-added, or similar taxes and duties associated with its purchase, unless Customer provides a valid tax exemption certificate.
10. Compliance with Laws; Export Control
Customer agrees to comply with all applicable laws and regulations in connection with its purchase and use of Products, including U.S. export control and economic sanctions laws. Customer shall not export, re-export, or transfer any Product in violation of such laws.
11. Intellectual Property
All trademarks, trade names, and intellectual property associated with the Products remain the property of Astricks or its licensors. Nothing in these Terms transfers any intellectual property rights to Customer beyond the right to use the Product as sold.
12. Force Majeure
Astricks shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including acts of God, natural disasters, labor disputes, supply chain disruptions, governmental action, or pandemics.
13. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of [Insert State], without regard to conflict-of-law principles. Any disputes arising out of or relating to these Terms shall be resolved exclusively in the state or federal courts located in [Insert Jurisdiction], and the parties consent to the personal jurisdiction of such courts.
14. Amendments
Astricks reserves the right to modify these Terms at any time. The version of these Terms in effect at the time an order is placed will govern that order. Continued purchasing after changes take effect constitutes acceptance of the revised Terms.
15. Entire Agreement
These Terms, together with any applicable order confirmation, invoice, or separate written agreement between the parties, constitute the entire agreement between Customer and Astricks with respect to the sale of Products, and supersede all prior or contemporaneous understandings, whether written or oral.
